Catalyst AI & Tech, LLC

Terms of Service

interviews.catalystai.llc

1. Agreement

These Terms of Service ("Terms") are a binding agreement between you ("you," "User") and Catalyst AI & Tech, LLC ("Company," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of Catalyst Interviews (the "Service") at https://interviews.catalystai.llc and related applications, APIs, and features.

By creating an account, purchasing credits or a subscription, or using the Service in any way, you agree to these Terms and acknowledge our Privacy Policy. Our Refund Policy and, for organisations, our Data Processing Addendum also form part of the agreement. If you do not agree, do not use the Service.

2. The Service

Catalyst Interviews provides AI-powered interview practice, CV analysis, job-description matching and related educational tools for job seekers, and interview, review and recruiting tools for employer organisations. The Service uses artificial intelligence and automated systems. Outputs, including scores, feedback and suggestions, are generated algorithmically and may be incomplete, inaccurate or unsuitable for your situation.

For job seekers, the practice product is for practice and self-improvement only. It does not constitute employment, recruiting, career counselling, legal, financial or professional advice. We do not guarantee interview outcomes, job offers, hiring decisions or any particular result from using the Service. For employer organisations, the Service provides tools to run interviews and review results. It does not make hiring decisions (see section 6).

3. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You represent that all registration information is accurate and that you will keep it current.

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@catalystai.llc if you suspect unauthorised access. We may suspend or terminate accounts that violate these Terms or pose security, fraud or abuse risk.

4. Credits, payments and billing

The Service uses a prepaid credit model for job seekers unless otherwise stated. Credit packs and feature costs are displayed at purchase. Prices may change; changes apply to future purchases only. Organisations are billed under section 5.

Payments are processed by third-party payment providers: Kashier for card payments in Egypt, and Stripe elsewhere and for organisation subscriptions. By paying, you also agree to their terms. We do not store full payment card details on our servers.

Credits are non-transferable, have no cash value, and do not constitute stored value or e-money unless required by applicable law. Unused credits do not expire unless we state otherwise at purchase. Refunds are governed solely by our Refund Policy.

5. Organisation accounts and subscriptions

An "Organisation" is a business or team that creates an organisation account to invite candidates and review their results. The person who creates or accepts an organisation account confirms that they are authorised to bind the Organisation, and in that case "you" in these Terms includes the Organisation.

Plans. Organisation plans are monthly subscriptions. A plan sets a price, the number of seats and the number of candidate interviews included in each billing period. The details are shown at checkout and on the organisation's Billing page. We may also agree custom limits or terms in writing, which take priority over this section.

Billing and renewal. Subscriptions are billed monthly in advance through Stripe and renew automatically at the then-current price until cancelled. By subscribing you authorise recurring charges to your payment method. If a payment fails, Stripe retries it and your plan limits continue while it is retried. If it is not recovered, the account falls back to the limits that apply without a plan.

Changing or cancelling. Organisation administrators can upgrade, downgrade, update the payment method, view invoices and cancel in the Stripe customer portal linked from the Billing page. New limits apply immediately, and interviews already used in the current period still count. Cancellation takes effect at the end of the current billing period and you keep access until then. Fees are not refunded for partial periods (see the Refund Policy). Cancelling does not by itself delete your data; the Data Processing Addendum explains export and deletion.

Seats. Every member of the organisation counts as a seat, whatever their role, including viewers and invitations that are still open. If you are over your seat limit after a downgrade, no one is removed, but new invitations and acceptances are blocked until you are under it.

Interview allowance. Each candidate invitation uses one interview from your plan's allowance for the period, and then from any prepaid interview credits the organisation holds. Interview credits for organisations are granted by us and are not sold by card. An invitation that is revoked or expires unused restores the allowance or credit it used.

Taxes. Prices exclude taxes such as VAT unless stated. You are responsible for taxes, duties and withholding that apply to you, except where we are legally required to collect them.

Candidate data. You are the controller of the personal data of candidates that you upload or create in the Service, and we process it on your behalf under our Data Processing Addendum, which forms part of these Terms. You are responsible for having a lawful basis for that data, for informing candidates, and for how you use their results.

6. Interviews, recording and integrity monitoring

Interviews on the Service are conducted and scored by AI. Scores, reports and feedback are automated outputs that may be inaccurate. They are not a hiring decision, a professional assessment or a guarantee of any outcome.

Recording, monitoring and coaching are optional. They are offered to a candidate only after a clear notice, they are off unless the candidate turns them on, and declining never prevents the candidate from taking the interview or changes their score. Organisations agree not to treat a candidate's decision to decline as evidence of wrongdoing and not to make agreeing to them a condition of being considered. The Service shows Organisations the same neutral wording whether a candidate declined or the feature was not offered, and Organisations agree not to try to work out which.

Integrity signals are evidence for a person, not a verdict. They can be wrong. An Organisation must have a person review a signal before relying on it, must not use signals as the only basis for rejecting or disadvantaging a candidate, and must allow a candidate to respond where the law requires. We do not make hiring decisions, and signals never change a score.

Recordings. Recordings are kept for at most 90 days after the interview. Only an Organisation's administrators and recruiters can watch them, only for a candidate who agreed to share their result, and each playback is logged. The Service offers no download, and you must not copy, capture, export or share recordings outside the Service except where the law requires.

Compliance. Organisations are responsible for complying with the employment, anti-discrimination, privacy and other laws that apply to their recruiting, including any duty to give notices to candidates or obtain consents beyond those the Service collects.

7. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or abusive purposes;
  • Attempt to reverse engineer, scrape, overload, or disrupt the Service or its AI systems;
  • Share account access, resell credits, or automate usage except via our official interfaces;
  • Upload malware, unlawful content, or material that infringes third-party rights;
  • Misrepresent AI output as human-generated professional advice or guaranteed assessment;
  • Circumvent rate limits, credit charges, or access controls;
  • As an Organisation, use the Service to discriminate unlawfully, to make solely automated decisions about candidates, or to harass or profile candidates;
  • As an Organisation, use candidate data for any purpose other than recruiting for the role the candidate applied for, or share it with anyone who does not need it.

We may investigate violations and cooperate with law enforcement. We reserve the right to remove content and terminate access without refund where permitted by law and our Refund Policy.

8. Your content

You retain ownership of content you submit (e.g., CVs, job descriptions, interview responses). You grant Catalyst AI & Tech, LLC a worldwide, non-exclusive, royalty-free license to host, process, transmit, and use that content solely to operate, improve, and secure the Service, including through third-party AI and infrastructure providers.

You represent that you have the right to submit your content and that it does not violate any law or third-party rights. You are solely responsible for the accuracy and legality of content you provide.

Recordings and integrity signals exist only if a candidate chooses them. We use them only to provide the Service as described in the Privacy Policy.

9. Intellectual property

The Service, including software, design, branding, question banks, rubrics, and documentation, is owned by Catalyst AI & Tech, LLC or its licensors and protected by intellectual property laws. These Terms grant you a limited, revocable, non-transferable license to use the Service for personal, non-commercial practice (job seekers) or for your own internal recruiting (Organisations), unless we agree otherwise in writing.

You may not copy, modify, distribute, or create derivative works from the Service except as expressly allowed.

10. Copyright complaints (DMCA)

Catalyst AI & Tech, LLC respects the intellectual property rights of others and responds to clear notices of alleged copyright infringement. If you believe material on the Service infringes your copyright, send a written notice to support@catalystai.llc (subject line "DMCA Notice") containing: (a) a signature of the rights holder or an authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act on the rights holder's behalf.

We may remove or disable access to material identified in a compliant notice and, for repeat infringers, terminate accounts in appropriate circumstances. A user who believes content was removed in error may submit a counter-notice to the same address.

11. AI & third-party services

The Service relies on third-party providers (including cloud hosting, authentication, payment, speech, and language models). Their availability, accuracy, and policies are outside our control. We are not liable for failures, delays, or actions of third parties.

AI-generated content may contain errors, bias, or outdated information. You should independently verify anything you rely on for real-world decisions.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST AI & TECH, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI OUTPUTS.

We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the Service will meet your requirements.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST AI & TECH, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CATALYST AI & TECH, LLC FOR THE SERVICE IN THE twelve (12) months before the event giving rise to the claim, or (B) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Catalyst AI & Tech, LLC and its members, managers, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your content; (c) your violation of these Terms or applicable law; or (d) your infringement of any third-party right.

15. Suspension and termination

We may modify, suspend, or discontinue the Service (in whole or part) at any time. We may terminate or restrict your access for any reason, including breach of these Terms, with or without notice where permitted by law.

Upon termination, your right to use the Service ceases. Organisation subscriptions end as described in section 5. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive.

16. Changes

We may update these Terms from time to time. We will post the revised Terms with a new date and version at the top. Material changes may be notified via the Service or email where appropriate. Continued use after changes become effective constitutes acceptance. If you do not agree, stop using the Service.

17. General provisions

  • Severability. If any provision of these Terms is held unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in full force and effect.
  • Entire agreement. These Terms, together with our Privacy Policy, Refund Policy and, for organisations, Data Processing Addendum, constitute the entire agreement between you and Catalyst AI & Tech, LLC regarding the Service and supersede any prior agreements on the subject.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including internet or hosting-provider outages, natural disasters, war, or governmental action.
  • Export control & sanctions. You represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive U.S. embargo, and are not on any U.S. government restricted-party list.
  • Electronic communications. You consent to receive notices and agreements electronically, including by email or through the Service, and agree that electronic delivery satisfies any legal requirement that such communications be in writing.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer protection laws of your country of residence apply.

Except where prohibited, you and Catalyst AI & Tech, LLC agree that any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction and venue in those courts.

Class action waiver: To the extent permitted by law, disputes must be brought on an individual basis only, not as a plaintiff or class member in any purported class or representative proceeding.

How we handle personal data is set out in the Privacy Policy and, for organisations, the Data Processing Addendum. Mandatory data-protection law, and the governing-law terms of the Data Processing Addendum, are not displaced by this section.
